INDIVIDUAL ONLINE SERVICE AGREEMENT

TAX FACTORY, S.L.

Online contracting of advisory packs

This page publishes the model of the Individual Service Agreement. The signed document is generated automatically with the Client’s data after payment and the advanced electronic signature. The fields of a specific client are not filled in on this public page.

1. Contracting parties

On the one hand, TAX FACTORY, S.L., tax ID B67123612, registered office at Calle Tenor Viñas, 14, Entresuelo 3.º, 08021 Barcelona, tax address at Plaza de Terrassa Industrial, 4, floor 2, door 3, 08223 Terrassa, and email guillem@taxfactory.es, hereinafter “TAX FACTORY”.

And on the other, the client whose details will appear in the contracting summary of the signed document, hereinafter the “Client”.

Both parties acknowledge that they have sufficient legal capacity to contract and bind themselves on the terms of this contract. The Client confirms that they are of legal age. Where they contract on behalf of a legal person, they confirm that they have sufficient power or authority to bind it.

2. Traceability of electronic contracting

The Client confirms that they have electronically contracted the service indicated in the “Contracting summary” section, having previously reviewed the particular terms of the contracted pack, the Online General Terms and Conditions, the Privacy Policy and, where applicable, the corresponding payment mandate.

The signed document will incorporate a traceability record including at least: date and time of contracting; email used; identity and integrity evidence associated with the advanced electronic signature; method of acceptance (advanced electronic signature with identity verification); and version, date and SHA-256 of the general terms, the particular terms of the pack, the privacy policy and the remaining accepted texts. This page does not publish a specific client’s data or IP addresses.

3. Contracting summary

The signed document will identify, among other things: Client or company name; NIF, DNI or NIE; tax address; email; telephone; client type (self-employed person, company or, where applicable, consumer); contracted pack; monthly price excluding VAT; monthly frequency; enabled payment method (normally Stripe); service start date; and intended effective start date, conditional on delivery of the necessary documents.

The specific fields prevail to identify the engagement, without changing the general rules or creating services that do not appear in the pack.

4. Object of the contract

The object of this contract is to regulate the provision by TAX FACTORY to the Client of the services included in the contracted pack, in accordance with the contracting summary, the Online General Terms and Conditions and the specific particular terms of the pack accepted by the Client.

The services will be provided mainly by remote means, without prejudice to TAX FACTORY offering additional support channels where appropriate.

5. Particular terms of the contracted pack

The particular terms of the contracted pack form an integral part of this contract. They set out the included services, the excluded services, the price, the service limits and the specific obligations applicable to the contracted pack.

The Client confirms that they reviewed and expressly accepted those particular terms before signing this contract. The signed PDF incorporates the particular terms of the contracted pack, and of the NÓMINAS Pack only when it has been contracted.

6. Start of the service and delivery of documents

The service is deemed contracted from acceptance of the applicable terms, completion of the first payment and the Client’s advanced electronic signature.

The Client reviews their data and accepts the current texts; makes payment through the Stripe secure payment gateway; and, after payment confirmation, verifies their identity and completes the advanced electronic signature in the browser. A drawn signature is not requested or captured on the site, and the signatory does not need to create a permanent TaxFactory account to complete signing.

A Stripe redirect does not activate the service. TAX FACTORY must receive payment confirmation, the signed PDF and identity, acceptance and integrity evidence, and technically validate the advanced electronic signature. Only then may the service be activated. Acts requiring a stronger formality fall outside this automated contracting flow and are handled separately.

Nevertheless, effective performance of the service remains conditional on the Client providing TAX FACTORY with all documents and information needed for correct performance of the contracted service.

Where the Client comes from another adviser or from a prior situation already under way, they are responsible for supplying in an orderly and complete manner the historical information and accounting, tax, employment, commercial or banking documents needed to take on the service correctly.

Unless the particular terms of the pack set another date, the Client must provide the necessary documents before day 10 of the month corresponding to the filing, management or submission in question.

If the documents are delivered out of time, incompletely or with errors, TAX FACTORY cannot guarantee correct performance of the service or on-time filing of the corresponding obligations, and assumes no liability for surcharges, penalties, interest or harm arising from that failure to deliver, late delivery or incorrect information.

7. Client obligations

  • Provide accurate, complete, up-to-date and sufficient data for performance of the service.
  • Deliver the necessary documents on time and in the required form, especially before the deadlines indicated by TAX FACTORY or by the particular terms of the contracted pack.
  • Review the information, returns, drafts, communications or documents that TAX FACTORY sends where the Client’s validation is required.
  • Keep contact, billing and payment details up to date.
  • Pay on time the fees, prices or amounts corresponding to the contracted service.
  • Notify TAX FACTORY of any notice, information request, incident, census change, employment variation, corporate change or other circumstance relevant to the contracted service.
  • Not provide TAX FACTORY with manipulated, incomplete or false documents, or documents that do not correspond to reality.

8. TAX FACTORY obligations

  • Provide the services included in the contracted pack in accordance with the terms accepted by the Client.
  • Assign to the Client the support or management channels provided for the contracted service.
  • File, where applicable and provided the necessary documents are available on time, the returns, forms or formalities included in the contracted pack.
  • Issue the corresponding invoice in accordance with applicable tax rules.
  • Treat the Client’s information with the required confidentiality and professional diligence.
  • Inform the Client, where necessary, of relevant incidents that may affect performance of the service.

9. Price, invoicing and payment method

The price of the service is that stated in the contracting summary and in the particular terms of the contracted pack. Unless expressly stated otherwise, prices are understood to exclude VAT.

Payment is monthly, unless the particular terms of the service establish another modality. Payment may be made by Stripe, card, direct debit, transfer or another means enabled by TAX FACTORY.

In the case of recurring payments, the Client authorizes the periodic charge of the corresponding fees through the selected payment method. If SEPA direct debit is used, the Client must accept or sign the corresponding mandate.

TAX FACTORY will issue the corresponding invoices and make them available to the Client by electronic means, unless another form of delivery is agreed.

10. Duration, no lock-in and cancellation of the service

The service has no minimum lock-in, unless the particular terms of the contracted pack or a specific offer accepted by the Client expressly provide otherwise.

The service renews monthly unless cancelled by either party in accordance with this contract and the Online General Terms and Conditions.

The Client may request cancellation of the service by notifying TAX FACTORY at guillem@taxfactory.es or through any of the official channels (email, WhatsApp or telephone). No form or justification is required.

Cancellation takes effect at the end of the billing period in course. Until that date the service is maintained, unless suspended for non-payment or a different documented agreement applies. The fee for the current period is not prorated and is not refunded. Cancellation does not remove overdue amounts, services already provided or accepted work.

At the end of the period, TAX FACTORY will cease performance, make the Client’s documents available and close their access to TAX FACTORY platforms and tools, without prejudice to the copies it must retain by legal obligation.

11. Non-payment and suspension of the service

In the event of total or partial non-payment of any fee, invoice or overdue amount, TAX FACTORY may suspend performance of the service until outstanding amounts are regularized, after notifying the Client where reasonably possible.

Suspension of the service for non-payment does not release the Client from the obligation to pay outstanding amounts, nor does it generate liability for TAX FACTORY for deadlines, surcharges, penalties, loss of reliefs or harm arising from the lack of payment or from the inability to continue providing the service.

12. Right of withdrawal, where applicable

The services are contracted in the course of the Client’s business or professional activity. Accordingly, the Client acts as a business, self-employed person or professional and the right of withdrawal provided for consumers does not apply, without prejudice to the possibility of cancellation provided in this contract and in the General Terms.

In the exceptional case that the service were contracted by a person with legal consumer status, the consumer and user rules that apply would apply, including, where applicable, the right of withdrawal on the terms and with the exceptions provided by law. The model withdrawal form appears as an annex to the General Terms and Conditions.

13. External collaborators and specialized services

Certain specialized services, especially of a legal, commercial, procedural or financial nature, may require the involvement of duly qualified external collaborators.

In particular, TAX FACTORY may have the collaboration of Gabinete Gestor, S.L. (MLT Asesores) for the provision of certain legal, procedural, commercial, financial or professional services. In that case, Gabinete Gestor, S.L. (MLT Asesores) acts as an external collaborator or specialized provider of TAX FACTORY, without there being a direct contract between the Client and that collaborator, unless a separate express agreement is made.

14. Data protection and confidentiality

Processing of the Client’s personal data is governed by TAX FACTORY’s Privacy Policy accepted by the Client during the contracting process.

Where TAX FACTORY processes personal data on the Client’s behalf, especially data of their workers in employment or Social Security matters, or data in the context of tax, accounting or management services, TAX FACTORY acts as processor and that processing is governed by the data-processing agreement entered into between the parties under article 28 of the GDPR. Collaborators who act on TAX FACTORY’s behalf, including Gabinete Gestor, S.L. (MLT Asesores), do so as processors or sub-processors.

Both parties undertake to keep confidential the professional, economic, tax, employment, commercial, banking or documentary information to which they have access on the occasion of performance of the service.

15. Professional liability and limits

TAX FACTORY assumes the professional liability arising from the work actually performed by its team, provided the Client has supplied on time complete, accurate and sufficient information.

TAX FACTORY is not liable for errors, surcharges, penalties, interest, loss of reliefs, harm or incidents arising from incomplete, incorrect, false, out-of-date or late information supplied by the Client or by third parties unrelated to TAX FACTORY.

TAX FACTORY is also not liable for decisions taken by the Client without following the professional indications received or without previously supplying the information needed to analyze the specific case.

Nothing in this contract excludes or limits liability that cannot be excluded or limited under the law.

16. Electronic signature and validity of the contract

The Client accepts that the advanced electronic signature, with identity verification, has full validity to prove contracting, for the purposes of Regulation (EU) 910/2014 (eIDAS) and Spanish Law 6/2020 of 11 November. The signature and contract-generation process is carried out through e-Signature.eu. Under article 25 of the eIDAS Regulation, legal effects and admissibility as evidence in legal proceedings shall not be denied merely because it is in electronic form.

The contract is formed in Spanish. The interface and an English translation may aid understanding, but they do not replace the Spanish text. The Spanish version prevails over any translation.

The Client will receive a copy of the contract and of the accepted documentation at the email address supplied during the contracting process.

Acts requiring a stronger formality fall outside this automated contracting flow and are handled separately.

17. Governing law and jurisdiction

This contract is governed by Spanish law.

For any dispute arising from this contract, the Courts and Tribunals that correspond under applicable rules are competent. Where the Client acts as a business, self-employed person or professional, and provided no mandatory rule provides otherwise, the parties submit to the Courts and Tribunals of Barcelona. Where the Client is a consumer, the forum that applies under mandatory consumer-protection rules is competent, which is generally that of the consumer’s domicile.

ANNEX I. Particular terms of the contracted pack

This annex is completed in the signed document with the specific schedule of the contracted pack, which the Client accepts together with the contract. This public page does not fill in a pack, a price or limits of a specific client.

The signed annex will identify the contracted pack, the monthly price excluding VAT, the included and excluded services, the service limits, the mandatory documents, the delivery deadline (day 10 of the filing month, unless otherwise agreed) and, where applicable, additional services. The public catalogue of pack schedules appears in the particular pack terms.

ANNEX II. SEPA direct-debit mandate, only where applicable

This annex is incorporated only when the Client chooses SEPA direct debit as the payment method. If payment is made exclusively through Stripe, card or another gateway, this annex may be omitted or replaced by the corresponding payment authorization.

Where applicable, the signed mandate will identify the debtor (Client name or company name and tax ID), the IBAN, the creditor TAX FACTORY, S.L. (tax ID B67123612), the type of payment and the date of authorization. This page does not publish an IBAN or other payment details of a specific client.

ANNEX III. Client’s express acceptances

  • I declare that I have read and accept this service agreement.
  • I declare that I have read and accept TAX FACTORY’s Online General Terms and Conditions.
  • I declare that I have read and accept the particular terms of the contracted pack.
  • I declare that I have read TAX FACTORY’s Privacy Policy.
  • I authorize TAX FACTORY, S.L. to act in my name and to file, with its own digital certificate, the returns, forms and formalities before the AEAT, the General Social Security Treasury and other competent bodies, within the scope of the contracted pack.
  • I authorize, where applicable, the recurring charge of the fees through the selected payment method.
